Terms and Conditions are designed to ensure that both parties clearly understand their contractual and legal
obligations. They should be read before signing the Contract. If there is any query in any definition, then please
contact Goosedale for clarification.

1.Charges and payment terms

1.1 The charges payable by the Client to Goosedale for and in relation to the Event (the “Charges”) shall,
subject to Condition 2.2, be calculated and paid in the manner and at the times specified in this
Condition 1.

1.2 Any Charges and payment terms set out in the Booking Form shall take precedence and shall prevail over
the provisions set out in this Condition 1 (and the provisions set out in this Condition 1 shall be deemed
to have been amended accordingly).

1.3 The Client shall make payments of the Charges by way of deposits or prepayments against the Estimated
Price (Payments), for which an invoice will be sent with the Booking Form, and which shall be payable in
the following instalments (unless alternative payment arrangements are specified in the Booking Form):

1.3.1 a minimum sum of 25% or £1,200, whichever the higher shall be paid as an initial deposit
at the time the Contract is entered (Non-refundable Deposit) to secure the booking;
Goosedale reserves the right to collect an additional deposit if required. The deposit
maybe split over instalments by Goosedale agreement as outlined in your booking form.

1.3.2 a minimum sum of £750, which is collected with the final payment, at least 6 weeks prior to your
event, will be held as security (Security Bond) against any loss or damage to the Venue,
property at the Venue or any related fixtures, facilities or items caused by the Client or any of
its delegates, guests, agents, or employees or its External Suppliers (Damage). The Security
Bond may be used to offset (or partially offset) the cost of any Damage and is only refundable
if (a) the Event takes place as arranged; and (b) there is no Damage or any other outstanding
balance remaining to be paid by the Clients to Goosedale upon completion of the Event against
which to offset the Security Bond. For the avoidance of doubt, the liability of the Client to
Goosedale under the Contract for any Damage shall not be limited to the value of the Security
Bond and, if, for any reason, Goosedale does not take or receive a Security Bond from the
Client, this shall not relieve the Client of any liability to Goosedale under the Contract for any
Damage;

1.3.3 60% of the Estimated Price shall be paid by the Client no later than nine months prior to the
date of the Event.

1.3.4 the final balance of the Estimated Price shall be paid by the Client no later than six weeks prior
to the date of the Event.

1.4 Goosedale may, at the sole discretion of Goosedale, require the Client to make a pre-payment on
account in respect of the estimated bar tab with subsequent reconciliation to take place either on the
date of the Event (or upon its completion) or within 7 days of receiving a final invoice at Goosedale’s
election.

1.5 Should the Client fail to pay any payment of the Charges which has become due under the Contract and
such payment remains unpaid 7 days after notification by Goosedale that the payment is
overdue, Goosedale reserves the right (without liability) to treat the Event as having been cancelled by
the Client and, in the event of Goosedale exercising such right by notice in writing to the Client, Condition
5 will apply.

1.6 A final account for the balance of all charges incurred by the Client under or in connection with the
Contract and/or the Event will be rendered to the Client immediately after the Event has concluded and
the Client shall pay such balance:

1.6.1 in the absence of credit facilities having been arranged by the Client and/or granted by
Goosedale under and in accordance with Condition 1.8, immediately in accordance with the
applicable payment method under Condition 1.9; or
and, for the avoidance of doubt, the Client will be responsible for (without limitation) all charges incurred
by or on behalf of, or at the request of, the Client or any of the Client’s delegates, guests, agents or
employees (as applicable) for any accommodation, food, beverages (including any bar account or “tab”)
or any other goods or services provided or paid for by Goosedale during the course of or in connection
with the Event and/or the preparation of the Venue for the Event in respect of which payment has not
previously been made by or on behalf of the Client to Goosedale.

1.7 Without prejudice to any other rights and remedies of Goosedale under the Contract, at law or in equity,
if the Client fails to pay all or any part of the account due to Goosedale under the Contract on or by the
due date for payment, the Client will pay to Goosedale interest on any overdue sum from the due date
to the date of payment at an annual rate of 8 per cent above the prevailing Bank of England base rate
from time to time and therefore in line with the Late Payment of Commercial Debts (Interest) Act 1998.

1.8 Credit facilities are only available to the Client if the Venue is being hired for a corporate function or
meeting and at Goosedale’s sole discretion. Any request for credit facilities from the Client must be:

1.8.1 received by Goosedale no later than one month prior to the date of the Event; and

1.8.2 made on Goosedale’s application form provided.

1.9 Unless credit facilities are agreed by Goosedale under and in accordance with Condition 1.8, the Client
shall (at Goosedale’s election) either:

1.9.1 make a pre-payment on account in respect of the estimated bar costs and similar costs of
consumables with a final reconciliation to take place either on the date of the Event (or upon
its completion) or within 7 days of receiving a final invoice; or

1.9.2 guarantee payment of the final account, including the balance of all charges incurred by the
Client under or in connection with the Contract and/or the Event (including any bar
account set up) by providing Goosedale with relevant debit card details of the Client and
that debit card will be charged to the extent that the final account of the balance of all
charges incurred by the Client under or in connection with the Contract and/or the Event is
not paid, with signature of the Contract by or on behalf of the Client authorizing the debit
card’s charge for such purposes at such time.

1.10 All Charges (whether specified on the Booking Form, the invoice provided the Booking Form or elsewhere
in the Contract) are current at the time of the Contract, provided that Goosedale reserves the right at
any time prior to the Event to increase any such price (including the Estimated Price) or charge if the
cost of supply of the goods and/or services to which the Charges relate materially increases due
to any circumstances outside Goosedale’s reasonable control. If Goosedale exercises this right,
Goosedale shall provide the Client with written notice thereof, together with the reason for the
relevant increase in the Charges, as soon as is reasonably practicable after the relevant circumstances
arise.

1.11 All Charges (including, without limitation, any cancellation charges which become due under Condition 4
below):

1.12 In respect of any Events at which more than 150 delegates or guests are booked to attend, a security guard
cost of £140.00 for each 100 delegates or guests may apply (at Goosedale’s sole discretion).

2 Confirmation by the Client

2.1 All bookings are strictly provisional (and Goosedale is not bound by any such booking) until the earlier of
the following events occurs:

2.1.1 Goosedale receives the Booking Form signed by or on behalf of the Client; or

2.1.2 the Non-refundable Deposit is paid by or on behalf of the Client
at which point a binding contract for the provision of the Event is created on and subject to the terms
and conditions set out in the Booking Form and these booking terms and conditions(Contract).

2.2 The Booking Form must be returned, signed by the Client or, the relevant Non-refundable Deposit must
be received by Goosedale, by the date specified in the Booking Form or, if no such date is specified,
within 5 working days of the date of issue of the Booking Form (or if there is insufficient time due to
the date of receipt of the Booking Form by the Client, within a maximum of 48 hours prior to the date of
the Event). If Goosedale does not receive the signed Booking Form and/or the Non-refundable Deposit
payment by the date specified in this Condition 2.2, Goosedale reserves the right to release the provisional
booking and re-let the facilities at the Venue which are the subject of such provisional booking.

2.3 Unless otherwise agreed with Goosedale:

2.3.1 delegate or guest numbersfor the Event must be notified verbally by the Client to Goosedale
at the time of making the provisional booking and such numbers will be included in the
Booking Form.

2.3.2 final confirmation of the schedule of events, itinerary, timings, delegate or guest numbers,
menus, special dietary requirements, refreshments, decorations, entertainments, floor
plans, room layout, audio-visual requirements and any special requests for the Event (as
applicable) must be supplied by the Client to Goosedale at least 30 days prior to the date of
the Event at which point an invoice will be raised in respect of any outstanding balance due
to be paid to Goosedale prior to the Event.

3 Amendments by the Client or to the Booking Contract

3.1 Amendments to the arrangements described on the Booking Form must be notified verbally by the Client
to Goosedale at the earliest possible opportunity and promptly thereafter confirmed in writing by the
Client. No such amendments will be binding or effective until notified in writing by the Client and
accepted in writing by Goosedale and (without limitation) any amendments for which Goosedale is
notified following the final confirmation of the Event, which would otherwise cause a reduction in the
Estimated Price will not result any such reduction or discount. If the Client does not notify Goosedale in
writing of any amendment(s), the Event will be deemed as taking place as originally planned and as
described in the Booking Form.

3.2 If the number of delegates or guests which attend the Event, or if the duration of the Event is less or
shorter than the number of delegates or Guests or duration referred to in the Booking Form:

3.2.1 the Client shall not be entitled to any refund, discount or waiver of any sums paid or payable
by the Client under the Contract in respect of the Event, and all such sums shall remain
payable (to the extent not already paid); and

3.2.2 unless such costs are already included in the Estimated Price, Goosedale reserves the right (at
its sole option) to levy an additional charge at cost to compensate for any additional costs
unnecessarily incurred by Goosedale as a result.

3.3 If the Client wishes to increase the number of delegates or guests attending the Eventto a numberin
excess of the number referred to in the Booking Form, Goosedale:

3.3.1 will use reasonable endeavors to comply with such request subject to availability of
accommodation, facilities and services but will not be in any way liable to the Client should
it fail, having used such reasonable endeavors, to do so; and

3.3.2 shall be entitled to increase its charges in accordance with the increased number of guests
attending and its then currently applicable prices.

3.4 No verbal amendments will be accepted.

4 Cancellation or postponement by the Client

4.1 The Client may cancel the Event or, request that Event be changed to alternative date due to
circumstances beyond the Client’s reasonable control, at any time provided that the cancellation or
request is made in writing. In these circumstances the provisions set out in this Condition 4 shall apply.

Cancellation

4.2 If the Client notifies Goosedale that it wishesto cancel the Event for any reason, Goosedale shall be
entitled retain the Non-Refundable Deposit. In addition, if the Client cancels the Event within the time
periods set out in the table below, the Client shall be liable to pay to Goosedale a late cancellation
charge calculated in accordance with the table below:

4.3 The Client expressly acknowledges that the cancellation charges are payable by the Client as liquidated
damages and not as a contractual penalty and that they represent a genuine pre-estimate of the costs and
losses which are likely to be incurred by Goosedale as a result of the cancellation or postponement of the
Event (and, in particular but without limitation, the Client acknowledges that Goosedale is unlikely to
be able to obtain an equivalent substitute booking at the Venue at short notice and that the scale of
cancellation charges reflects this).

Postponement

4.4 If the Client notifies Goosedale that it wishes to change the date of the Event to an alternative Event due
to circumstances beyond its reasonable control, the following provisions shall apply:

4.4.1 Goosedale shall use its reasonable endeavors to offer the Client a suitable alternative date for
the Event (subject to availability and provided that the alternative date shall be no later than
six months and fall within the same financial year (1st April – 31st March) of the original date
upon which the Event was scheduled to take place);

4.4.2 any deposit payments previously made by the Client will only apply to the original date of
the Event and not to any new date for the Event (and for which the Client will be required to
pay new deposit payments in their entirety);

4.4.3 any other Payments previously made by the Client in respect of the Event shall be retained by
Goosedale against the Payments which are then due, or which will become due in respect of
any rescheduled Event; and

4.4.4 An administration and re-arrangement fee of £1750 for the Garden Room, £2750 for the
Ivory Suite will be payable to Goosedale at the time of postponement in addition to any
outstanding balances relative to the original contract

4.5 The Client is strongly advised to arrange adequate insurance cover in respect of any Event and
the possibility of the cancellation or postponement of the Event.

5 Amendments or cancellation by Goosedale

5.1 If Goosedale, (acting reasonably and at it sole discretion) considers that it needs to change any of the
arrangements for and/or other aspects of the Event (including but not limited to the date of the
Event) Goosedale will use its reasonable endeavors to offer the Client comparable alternative
arrangements at no additional cost and, in such circumstances the Client may (at its option):

5.1.1 accept any such comparable alternative arrangements by notice in writing (in which event the
Contract shall be deemed to have been amended accordingly); or

5.1.2 cancel the Contract by notice in writing in which event Goosedale shall refund to the Client the
Non- Refundable Deposit, the Security Bond and any Payments previously made under
Condition 2 and any other monies paid under the Contract in advance of the Event, provided that
whichever option is chosen by the Client under this Condition 6.1, the fulfilment by Goosedale of
its obligations shall constitute the limit of Goosedale’s responsibility and liability to the Client in
relation to the change or cancellation of the Event and the Contract in such circumstances.

5.2 Goosedale may cancel the Event and terminate the Contract without liability if:

5.2.1 Goosedale has reason to believe (in its sole discretion but acting reasonably) that the Event
might have an adverse effect on the reputation of the Venue and/or of Goosedale;

5.2.2 Goosedale has reason to believe (in its sole discretion acting reasonably) that the Event (or the
holding of the Event) may result in damage or harm to persons or property at the Venue or,
may represent health and safety risks
in which event Goosedale shall refund to the Client the Non-Refundable Deposit, the Security Bond and
any Payments previously made under Condition 2 and any other monies paid under the Contract in
advance of the Event and such refunds shall constitute the limit of Goosedale’s responsibility and
liability to the Client in such circumstances.

5.3 Goosedale may cancel the Event and terminate the Contract without liability if:

5.3.1 the Client (being an individual and any of them if more than one person) becomes bankrupt
or subject to any circumstances which Goosedale reasonably considers means the Client will
be unable to make all Payments in full when due;

5.3.2 the Client (being a company) becomes insolvent or unable to pay its debts when due or winding
up proceedings are commenced in relation to the Client or if an administrator administration
receiver is appointed over the Client and the Client’s affairs;

5.3.3 Goosedale receives information or otherwise becomes aware of any other material adverse
alteration in the Client’s financial situation which Goosedale reasonably considers means the
Client will be unable to make all Payments in full when due; or

5.3.4 the Client commits any material breach of the Contract,
and, in such circumstances, Goosedale may deem the Client to have served notice cancelling the Event
and the provisions set out in Condition 5 above will apply.

5.4 FORCE MAJEURE - Goosedale will not be liable for any failure or delay in providing facilities, services,
food or beverages under and/orin accordance with the Contract as a result of any event(s) or matter(s)
outside itsreasonable control, including (without limitation) fire, storm, explosion, flood, Act of God,
disease, virus, action of any Government or Governmental agency, shortage of materials or goods, strike
or lock-out. Goosedale strongly recommends that the Client take out its own insurance against
such an eventuality affecting the Event.

5.5 Goosedale’s liability under and in connection with the Contract shall be limited to direct losses only and shall
in no circumstances exceed the actual proceeds received by Goosedale under any relevant insurance policy in
respect of the liability in question or the sums paid under the Contract by or on behalf of the Client to
Goosedale, whichever is higher; and Goosedale shall not be liable to the Client by reason of:
any representation (save for any representation made fraudulently);
any implied warranty, Condition or other term; or
any duty at common law,
or under the express terms of the Contract for any indirect or consequential loss or damage
(whether for loss of profit, business, contracts, goodwill, revenue, anticipated savings or
otherwise), costs, expenses or other claim for indirect or consequential compensation
whatsoever (and whether caused by the negligence of Goosedale, its employees or agents or
otherwise) that arises out of or in connection with the Event or the Contract.

5.6 Nothing in the Contract or these conditions shall limit or exclude Goosedale’s liability for death or
personal injury caused by Goosedales negligence, liability for fraudulent misrepresentation or
concealment or any other liability that cannot be excluded or limited at law.

5.7 Goosedale strongly recommends that all clients take out wedding or similar event
insurance. At a nominal charge, this protects the Client from most circumstances
beyond their control.

6 Supply and Use of Goosedale

6.1 The Event including entertainment must cease by 12am unless specified otherwise on the booking form.
The client and guests are provided 30 minutes to vacate the venue. Any overrun time if approved by
management will be charged to the client at £250 per 30 minutes beyond 12am or the time on the
booking contract. This cost will be deducted from the security bond for any additional time charges
incurred.

6.2 At the end of the day of the Event, you will ensure that Goosedale Venue (the areas hired within your
booking form) are left in the condition it was at the start of the agreed Access Times and in particular
that all suppliers have cleared any equipment or other matters and that no goods of any kind, bottles or
rubbish or other matters of any description are left in any part of the Venue other than the designated
refuse bins provided or otherwise indicated. Refuse bins are strictly for the waste from the event
directly and suppliers own waste must be removed of site and not disposes in Goosedale bins. Any nonevent waste or cross contamination of bins by incorrect disposal will incur charges at £120 per bin,
deducted from your security bond.

6.3 Any bars available for the use of your event will close by 12am on the day of the event and all other
service of beverages must cease at the same time. We reserve the right to stop service of alcohol and
remove any Guest at any time who, in our sole opinion, is intoxicated and/or acting inappropriately.

6.4 The following are not permitted at Goosedale at any time unless otherwise agreed in writing:

6.4.1 Animals except for guide, hearing and other assistance dogs;

6.4.2 Speed drinking activities and other associated apparel;

6.4.3 Chocolate fountains;

6.4.4 Candles with open flames;

6.4.5 Confetti canons;

6.4.6 Indoor fireworks or sparklers strictly prohibited;

6.4.7 Sky/candle lanterns and floating lanterns of any kind;

6.4.8 Balloon releases;

6.4.9 Smoking (including electronic cigarettes or charging devices) inside any buildings. Designated
smoking areas will be provided externally;

6.4.10 No confetti allowed on the premises during the Event at any time inside or outside the venue.
The Client will be held responsible and liable for any clean up required if this provision is not
adhered to, with a cleaning cost of £150 plus VAT, deducted from your security bond.

6.4.11 For fireworks please contact First Galaxy Fireworks on 0115 8559000 or www.galaxyfireworks.co.uk. Due to insurance, health and safety and other Conditions, no other external
firework companies are permitted. All firework displays must take place before 10.30pm. For
unauthorized use by the client or its guests, the client will be charged £350, from the
security bond. It is the clients responsibility to ensure all guests are aware of this
clause.

6.5 No attachments to the walls, floors and ceilings (whether internal of external) are permitted whether
structural, cosmetic, for temporary cabling or otherwise, without our prior written consent. This includes
affixing, screwing, attaching or sticking any item by any means. Movement of items may be permitted as
follows provided that such temporary alternations or movement of items must be reinstated in full at the
end of the day of the Event and returned to its original location where appropriate. You must seek prior
permission before the Event:

6.5.1 existing furniture, soft furnishings, ornaments etc. in the Licensed Areas; and

6.5.2 free-standing props and non-adhesive dressing.

6.6 Noise shall not be permitted above an acceptable level of 95 decibels which might affect the quiet
enjoyment of or cause nuisance to neighboring residential premises. The Venue operates a strict sound
limiting policy. If the noise levels are in excess of what is deemed by us to be acceptable, we reserve the
right to restrict any noise or music. If music is required externally, only non-amplified music is permitted
until 11pm on the day of the Event. Any Dhol (drum) music must only be played after 9am upon entrance
to your Suite Hired and is not allowed on the general grounds beyond or anywhere outside the estate
including access routes. The Venue requests that all guests leave the Venue quietly and promptly to avoid
disturbing the local residents in nearby houses. All music must cease at midnight.

6.7 You are solely responsible for the safety and security of your Guests and Suppliers during the Access Times
and must take responsibility of conducting the event in an orderly manner. If additional security staff are
required for any reason by the Venue you will be charged separately. We reserve the right to prevent
access to or to remove from the Venue any Guest or other person acting in any way which, in our sole
opinion, may cause you to breach any terms of this Hire Agreement, cause harm, offence or nuisance to
any Guest, Supplier, or Venue employee or local resident, or cause damage to the Venue. In such event
we may, at our sole discretion, end the Event if deemed necessary and as a last resort and we will not be
liable for any claims, losses, damages, costs or expenses that you or any other person may incur as a
result. The Duty Manager or other most senior member of staff on duty at the event are representative of
the license holder and are empowered to suspend an event if license or health and safety guidelines are
being ignored. The Venue reserves the right to exclude or eject, as it sees fit and reasonable, any persons
from the event or the venue acting inappropriately. The Venue reserves the right to carry out security
searches upon entry to the Venue and to refuse entry to any member of the public visiting.

6.8 Goosedale is licensed to hold civil ceremonies. If you would like to book a civil ceremony as part of your
Event, you will also need to book this with Nottingham Registry Office and pay any associated costs
directly to them. If an external civil ceremony has been scheduled, the decision as to whether a ceremony
will take place outside must be made by the responsible person on duty at the venue a minimum of two
hours prior to the start of the ceremony. Inclement weather can include wet, cold, heat wind and other
extreme conditions. However, the registrar’s decision will be final.

6.9 The initial internal and external set-up of tables, chairs and other furniture will be carried out by
Goosedale. We require the clients seating arrangement to be submitted one month
prior to the event. If a second seating plan or any change over is required, it is the responsibility of the
caterer/client to rearrange and/or reset all tables and chairs for self-catered events.

6.10 In the event where the client only hires one set of chair covers or chivari chairs it is the responsibility of
the client or its suppliers to move the chairs or any equipment to another room, for instance after conduct
of the civil ceremony or religious ceremonies.

6.11 The Venue cannot be responsible if a piece of equipment supplied by the Venue breaks down or fails to
work. The Venue will make every effort to assist in resolving the issue but cannot guarantee repair or
replacement. The Venue is not liable for any equipment brought in by the client and/or suppliers.

6.12 Children must always be kept under strict parental supervision during their visit. Goosedale highly
recommends the use of a qualified childminder in the absence of a parent.

6.13 A structure for a Religious Ceremonies including Mandap or Chuppah will be permitted within Goosedale.
Any structures must be free standing and additional floor protection may be required, to protect
Goosedale floor finishes especially in consideration of any havans

6.14 All suppliers must use the supplier car parks to the rear of the Ivory Suite and are not permitted to park at
the front of the Ivory Suite/Crystal Hall or Garden Room. Goosedale accepts no liability for any damages
to supplier vehicles or thefts from them whilst on site.

6.15 Customers are permitted to leave their vehicles overnight within the Garden Room overflow car park but
must be removed by 11am the following morning. Any vehicles left in the incorrect areas may be blocked
in and we reserve the right to tow vehicles if necessary. Goosedale accepts no liability for any damages
to vehicles or thefts from them whilst on site. We kindly request that all drivers always take care and
consideration whilst driving within the estate and observe the speed limit of 10 mph. No unnecessary
driving is permitted on the site other than to exit and hooting or excessive loud music is strictly
prohibited. Any vehicles contravening this clause or clause 6.7 will be asked to leave. It is the client’s
responsibility to ensure that all guests and suppliers are aware of the terms of these clauses.

6.16 It is a condition of the Contract that the Client and each of its delegates, guests, agents or employees shall
observe and comply with the Codes of Conduct and shall otherwise conduct themselves in accordance with
good and proper standards of behaviour at all times when visiting the Venue. Goosedale reserves the right to
either refuse admission to any person or require any person to leave the Venue if, acting reasonably,
Goosedale considers any person is conducting themselves other than in accordance with this condition or
whose behaviour represents a threat to the health, safety and welfare of other guests or Goosedale’s
employees and agents.

6.17 The Client and its guests are only to use the outside facilities directly outside the Suite hired. Access to the
remainder of the site is only permitted by express permission in writing by Goosedale management.
The Pagoda/Gazebo and associated garden areas are only available by prior agreement, at a fixed time
for the Client for use for photography. Please liaise with your event coordinator to agree this time or on
the day of your event the duty manager. After use this area will be locked and not available for use,
unless specifically agreed with Goosedale management prior to the event.

6.18 The Client will ensure that all fire exits will always be free of obstruction during the Event.

6.19 Unless agreed with Goosedale prior to the event and subject to any additional charges the Client may
not bring any external beverages or food into the Venue for consumption inside the Venue.

7 Catering/Suppliers/Other Subcontractors

7.1 If the Client wishes to engage any External Suppliers to provide goods orservices at the Event, the identity of all
External Suppliers must be notified to Goosedale in writing either at the time of booking the Event (if known)
or as soon as is reasonably practicable following the selection of the External Supplier (and in any event by no
later than the date which is 30 days prior to the date of the Event. The provision of any services by an External
Supplier is strictly subject to the prior approval of such External Supplier by Goosedale and these terms and
conditions.

7.2 Goosedale accepts no responsibility for the loss or damage to the hirer’s equipment or property, or to
equipment or property belonging to the hirer’s employees, guests or subcontractors whilst at the venue.

7.3 The Client shall be responsible and liable for the acts and/or omissions of each External Supplier engaged by it
in relation to the Event and but without limitation:
The client shall ensure that if it is engaging an External Caterer to provide catering services
involving the use of the kitchens at the Venue, that External Suppliers are provided with a
copy of the Goosedale self-catered terms and conditions. Goosedale strongly recommends
that the Client, provides Goosedale Self Catered Terms & Conditions, prior to engaging and
entering into a contract with such External Supplier in relation to the Event , Goosedale will
not be liable for any additional charges levied by caterer due to the client not informing them
of the self-catered terms and conditions.
The Client shall inform any such External Catering Supplier that a kitchen service and catering charge
will apply of £400 plus VAT for the Ivory Suite kitchen and £300 plus VAT for the Garden Room kitchen.
It shall be the responsibility of the Client to inform the External Supplier of such charges. In the event
of non-payment by the supplier then the client will be responsible for the payment on the final
payment 6 weeks prior to the event.
The Kitchen security bond of £500 in Cash, MUST be paid UPON ARRIVAL by the caterer, non-payment of
which will result in access being denied to the kitchen.
For avoidance of doubt the client will be held fully responsible, liable for any
damages, costs, losses or associated costs incurred, by the use of the caterer of the
kitchen facilities and associated services, if costs are not recoverable from the
caterer.

7.4 The Client shall inform the External Caterer Supplier of the times applicable to the Event in advance of the
Event and shall ensure that the External Supplier completes the provision of the services including:
• Set up of services;
• Lay up of crockery/cutlery/glassware;
• Clearance of all crockery/cutlery/glassware;
• take down of services;
• Cleaning up and the removal of third-party equipment from suites & bars
• Cleaning and leaving the kitchens clean

7.5 All caterers must provide their own equipment, provisions, utensils, crockery and cleaning materials including
but not limited to brooms, bin liners, buckets and any other items necessary for removal (and shall not be
permitted to use any of the equipment, provisions, utensils, crockery or cleaning materials at the Venue
without prior written agreement)

7.6 All caterers will have no access to on-site washing facilities for crockery, cutlery and glassware. These must be
removed at the end of the event.

7.7 We accept no responsibility for the performance of your Approved Caterer, and you should direct any issues
or complaints to them directly. Payment of their fees shall be in accordance with any agreement entered into
between you and them and you shall be solely responsible for the performance of that agreement.

7.8 You are responsible for ensuring that the Approved Caterer complies with the provisions of this Hire
Agreement and are responsible for the cleaning, hygiene and cleaning procedures of the areas referred to in
Goosedale self-catered terms and conditions during the agreed Access Times. Any additional cleaning that
needs to take place by the Venue will be chargeable to the hirer and will be taken from the Damage Deposit.
The Venue will provide your Approved Caterers a list of rules and regulations for the areas they will be
accessing and/or cleaning.

7.9 For caterers, Goosedale requires as per the Self-Catered Terms and Conditions the following documentation
one month prior to the Event Date including but not limited to:

7.9.1 Copy of Public Liability Insurance – with a minimum cover of £5 million.

7.9.2 Health & Hygiene Certificate (minimum of a 4 Star rating or above);

7.9.3 Relevant risk assessment documentation;

7.9.4 COSHH;

7.9.5 Company health and safety policy;

7.9.6 PAT testing for all electrical items being used

7.10 For any other subcontractor, Goosedale requires the following documentation one month prior to the Event.
Date including but not limited to:

7.10.1 Public Liability Insurance with a minimum cover of £5 million;

7.10.2 For Drone Use, we require a valid pilot license and Public Liability Insurance with a
minimum cover of £5 million.

7.10.3 PAT testing for all electrical items being used.

7.10.4 Has carried out any necessary risk assessments and complies with health & safety
requirements

7.11 Any materials used for showcases or stands must comply with the applicable fire prevention standards.
Consequently, the Venue must be supplied with details of all materials for approval. Cloths, drapes and related
material need to be treated with a fire retardant to meet the necessary safety requirements.

7.12 If heavy props or photographic equipment is used within The Venue, this must be lifted and not dragged along
the wooden/marble/carpeted internal flooring or external stone paths to avoid any damage. Adequate floor
covering will be required if equipment is being carried throughout the building. To avoid damage, no props or
photographic equipment shall be leaned on the walls, doors, tapestries or any other furniture or antiques.

7.13 All clear down of suppliers must be within the Event times set out in the Booking Form, vacate the Venue
within a reasonable period thereafter unless otherwise previously agreed with Goosedale.

If any External Supplier fails to vacate the Venue within 1 hour following the end of the Event,
Goosedale will charge the Client an overrun fee of £250 for each 30 minutes (or part thereof),
deduct any applicable fees from the client security bond.

7.14.1 The client and supplier must observe any Codes of Conduct and any other reasonable directions of
Goosedale in relation to the provision of the services by the External Supplier.

8 Client Responsibility and Liabilities

8.1 The Client shall be liable to Goosedale (on demand and on a full indemnity basis) for Goosedale’s costs, demands,
claims, losses, fines, penalties, proceedings and similar liabilities resulting in any way from:

8.1.1 Loss and any Damage; and

8.1.2 a breach of any of the terms or conditions of the Contract (including, without limitation, a breach of
the provision) which is caused by the Client or any of its delegates, guests, agents or employees
however arising and whether deliberate or accidental or as a result of negligence or otherwise; and

8.1.3 relating to acts and omissions by the Client, its employees, guests, or subcontractors when using
information technology network, such indemnity to include but is not limited to, security matters,
infringement of the legal rights of any party and dispersal of any inappropriate and unsolicited
emails.

8.2 The Client shall be responsible for all claims made regarding such Damage or injury which arise due to
the use of Goosedale by the Client, whether or not such claims are made by the management of
Goosedale or a third party against Goosedale or the Client.

8.3 It is the responsibility of Goosedale for the general cleaning of the Venue after the Event. However, if there is
there is excessive waste or cleaning required then any additional cleaning costs incurred by Goosedale will be
chargeable to the client.

8.4 Goosedale is required to comply with certain applicable licensing laws and regulations. Accordingly, the Client
shall not do or omit to do, and shall procure that its delegates, guests, agents or employees shall not do or omit
to do, anything that in any way prevents, prejudices or hinders Goosedale’s ability to fulfil their obligationsin
thisrespect or which causes Goosedale to be in breach of itslicensing laws.

8.5 Goosedale reserves the right to object to the employment by the Client or any of its guests of any
photographer, video-camera person, toastmaster, band, musician, or any other persons in connection with any
function but will without obligation be pleased to give the Client and its guest(s) the benefit of Goosedale
advice or recommendations in this respect. It will be the responsibility of the Client to ensure that, where
applicable, Performing Right Society forms are completed by any band or musicians employed by the Client.
The Client will keep Goosedale fully indemnified against the costs, expenses and damages of all claims, which
may be made against Goosedale arising from any breach of copyright occurring during any function.

8.6 Goosedale is concerned for the Client’s health and safety and that of its employees and the Venue. The Client
must consult with Goosedale before fixing items to walls, floors and ceilings, or using any form of electric
equipment and shall not be entitled to do so without the prior written approval of Goosedale. The Client shall
indemnify Goosedale against any claims resulting from damage to property or from injury to any individuals
appointed by the Client, or the Client’s contractor in using the said equipment, unless such damage, death, or
injury is caused by the negligence or willful act or omission of Goosedale or its employees. The Client is advised
to ensure adequate health & safety measures are in place and public liability insurance of £5,000,000 plus
arrange adequate insurance cover in respect of any such loss or damage.

8.7 The Client shall indemnify Goosedale and its employees, agents and sub-contractors against any loss or liability
incurred by the Client or any of its delegates, guests, agents or employees including any such External Supplier
(as applicable) arising as a result of the event or any entertainment, services or activities organized by the
Client (or Goosedale on behalf of the Client) in connection with the Event (including and resulting from the
use of foodstuffs and beverages brought in by External Suppliers). The Client is advised to arrange adequate
insurance cover in respect of any such loss or damage.

8.8 Goosedale will not be liable for any loss or damage to property owned by, or in the custody of the Client or
any of its delegates, guests, agents or employees (as applicable). The Client is advised to arrange adequate
insurance cover in respect of any such loss or damage.

8.9 If minor problems arise during the Event the Client should notify such problem to Goosedale in order to
enable Goosedale to take appropriate steps to rectify such problem(s) as and when they arise. Goosedale
shall have no liability to the Client if it fails to notify Goosedale of any such minor problems promptly and
thereby allowing Goosedale the opportunity to remedy any such problems. In no circumstancesshall
Goosedale have any responsibility orliability to the Client for any event or circumstance which arises or occurs
at the Venue outside the Event times stipulated in the Booking Form.

8.10 The Contract may not be assigned or in any way transferred by either party without the prior written
consent of the other party.

8.11 The Contract does not create any right enforceable by any person not a party to it, except that any
person who isthe permitted successorto or assignee of the rights of a party is deemed to be a party to the
Contract.

8.12 No failure or delay by a party to exercise any right or remedy provided under the Contract or by law
shall constitute a waiver of that or any other right or remedy, norshall it prevent or restrict the further
exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall
prevent or restrict the further exercise of that or any other right orremedy.

The Contract will be governed by the laws of England and shall be subject to the exclusive jurisdiction of the English
courts in the event of a dispute.
